Effective
March 1, 2006, the Board of Directors of Vectren Corporation amended Section
4.15(a) of the Company’s Code of By-Laws to change the mandatory retirement age
of a director from age 70 to age 72. The Amended and Restated Code of By-Laws
are filed as Exhibit 3.2 to this Current Report on Form 8-K and are incorporated
by reference herein.
