SECURITIES AND TRADING MARKETS Item 3.03 Material Modification to Rights of Security Holders From February 2000 through August 2004 Enviro Voraxial Technology, Inc. (the "Company") sold an aggregate of 4,514,997 warrants to accredited investors in private placement transactions exempt from registration under such Section 4(2) of the Securities Act of 1933 and Regulation D of Rule 506. Each warrant is exercisable to purchase one share of the Company's restricted common stock at exercise prices ranging from $1.00 to $4.00 per share. On February 16, 2005 the Company reduced the exercise price of the warrants to $0.40 per share for a period of 60-days. Subsequent to the 60-day period, the exercise price of the warrants will revert to the original exercise price per share until the expiration date of the warrants. No other terms of the warrants were modified or changed as a result of the reduction in the exercise price. Proceeds from the exercised warrants, if any, will be used for working capital purposes.
