Item 5.03. Amendments to the Articles of Incorporation or Bylaws; Change in Fiscal Year.
On February 24, 2006, the Board of Directors of The Manitowoc Company, Inc. approved an amendment to its articles of incorporation to double the number of issued and unissued shares of its Common Stock, $.01 par value, and thereby to cause a two-for-one stock split of the Companys Common Stock, without a change in the par value. The amendment was filed on March 16, 2006, and will become effective on March 31, 2006. One additional share of Common Stock will be distributed in book-entry form on each outstanding share of Common Stock on April 10, 2006 to shareholders of record on the effective date of the amendment.
