ITEM 5.02. DEPARTURE OF DIRECTOR
Mr. John A. Cooper, Jr., who has served as a member of our Board of Directors since 1990, resigned his position effective August 1, 2006. Mr. Cooper resigned for personal reasons and not as a result of any disagreements with the Company.
We thank Mr. Cooper for his service to our company and plan to fill this open position on our Board when a qualified candidate is identified.
