Qualified Holding

 

Portugal Telecom, SGPS S.A. (“PT”) hereby informs that Telemar Norte Leste SA (“TMAR”) now holds directly its qualified holding corresponding to more than 2% of PT’s share capital and corresponding voting rights.

 

Such situation resulted of the execution of the agreement entered into on 4 March 2011, between TMAR, an indirect subsidiary of Telemar Participações S.A., and Barclays Bank PLC (“Barclays”). Under the terms of such agreement, Barclays transferred to TMAR, on 30 March 2011, a block of 26,895,360 ordinary shares corresponding to 3.00% of PT’s share capital and corresponding voting rights(1).

 

PT was further notified that TMAR is controlled by Tele Norte Leste Participações S.A. (“TNL”) which is controlled by Telemar Participações S.A.. Telemar Participações S.A. is jointly controlled by the following entities: AG Telecom Participações S.A., L.F. Tel S.A., Luxemburgo Participações S.A., Fundação Atlântico de Seguridade Social, BNDES Participações S.A. — BNDESPar, Caixa de Previdência dos Funcionários do Banco do Brasil — PREVI, Fundação dos Economiários Federais — FUNCEF, Fundação Petrobrás de Seguridade Social — PETROS e Bratel Brasil, S.A..

 

This statement is pursuant to the terms and for the purposes of paragragh c) article 1 and no. 2 of article 2 of the Portuguese Securities Commission Regulation no. 5/2008, following a communication received from TMAR, a company incorporated under the Brazilian law, with registered office at Rua General Polidoro, 99, 5th floor, Botafogo, Rio de Janeiro, Brazil, with share capital of $R 11.631.325.794,62, registered in the Junta Comercial do Estado do Rio de Janeiro with the no. 33.300.152580.

 


(1)  PT informs that the qualified position referred to in this press release was calculated with reference to 896,512,500 issued shares. In addition, PT continues to hold an equity swap over 20,640,000 shares. Taking into account the number of shares required to cover such swap, shares outstanding would be 875,872,500.
