Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective March 15, 2012, the Board of Directors of CIBER, Inc. (the “Company”) appointed Michael Boustridge as a new Class II director. Mr. Boustridge was nominated by the Company’s Nominating/Corporate Governance Committee and he will stand for election as a director at the Company’s 2014 Annual Meeting of Shareholders. The full text of the Company’s press release announcing the appointment is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
There are no arrangements or understandings between Mr. Boustridge and any other persons pursuant to which Mr. Boustridge was appointed as a director of the Company. Mr. Boustridge has no direct or indirect material interest in any transaction or proposed transactions to which the Company was, or is to be a party.
