Qualified holding and long position – Morgan Stanley

 

Portugal Telecom, SGPS S.A. (“PT”) hereby informs that it was notified of the following regarding a qualified holding and long position of Morgan Stanley:

 

A) 2% threshold exceeded (10 May 2013)

 

This change resulted from the increase on a borrowed position acquired by Morgan Stanley & Co. LLC, on 10 May 2013, concerning 3,460,631 PT ordinary shares. As a result, Morgan Stanley now holds a qualified holding corresponding to 18,494,953 ordinary shares representing 2.06% of PT’s share capital and voting rights and a long position corresponding to a total of 18,920,217 ordinary shares representing 2.11% of PT’s share capital.

 

Additionally, PT was informed that the qualified holding and long position are held as follows:

 

Holdings in PT ordinary shares:

 

·                      Morgan Stanley & Co. LLC: 5,729,849 ordinary shares representing 0.64% of the share capital and voting rights in PT;

·                      Morgan Stanley & Co. International plc: 7,426,658 ordinary shares representing 0.83% of the share capital and voting rights in PT;

·                      MS Equity Financing Services (Luxembourg) S.a.r.l.: 5,031,500 ordinary shares representing 0.56% of the share capital and voting rights in PT;

·                      Morgan Stanley Smith Barney LLC: 306,946 ordinary shares representing 0.03% of the share capital and voting rights in PT.

 

Holdings in financial instruments:

 

·                      Morgan Stanley & Co. International plc: 425,264 ordinary shares via cash settled financial instruments representing 0.05% of the share capital and voting rights in PT;

 

B) Interest fell below 2% threshold (13 May 2013)

 

This change resulted from a decrease on 13 May 2013 on the position held by the Morgan Stanley Group, concerning 8,525,775 PT ordinary shares. As a result, Morgan Stanley now holds a holding corresponding to a total of 10,394,442 ordinary shares representing 1.16% of PT’s share capital.

 

Additionally, PT was informed that this holding is as follows:

·                      Morgan Stanley & Co. LLC: 4,664,912 ordinary shares representing 0.52% of the share capital and voting rights in PT;
