Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On June 30, 2007, The J. M. Smucker Company (the “Company”) entered into a consulting agreement with Mr. John D. Milliken, the Company’s Vice President, Logistics and Fruit Processing, who retired effective June 30, 2007. Under this agreement, Mr. Milliken will provide consulting services related to the Company’s procurement, logistics, and fruit processing areas, along with general business integration matters. The consulting agreement is effective July 1, 2007 and provides for a term of one year, unless earlier terminated in accordance with its terms. Under the terms of the agreement, Mr. Milliken received a consulting fee of $100,000.
