(Eli) Leenaars was elected a director of Capital One Financial Corporation effective May 8, 2012 after being nominated by ING Groep N.V as a result of ING Groep N.V. exercising its contractual right to nominate a representative to serve on the board of directors of Capital One Financial Corporation. On July 25, 2012, ING Groep N.V. reported that on July 23, 2012, 39,948 shares of Capital One Financial Corporation were purchased in a rebalancing transaction for the account of ING Corporate Leaders 100 Fund, which is managed by ING Investments LLC, a wholly-owned subsidiary of ING Groep N.V. ING Groep N.V. has reported beneficial ownership of 54,830,725 shares of Capital One Financial Corporation.
