Item 1.01. Entry into a Material Definitive Agreement

 

On December 13, 2004, SYNNEX Corporation (the “Company”), a Delaware corporation, entered into Amendment No. 3 dated December 13, 2004 to Amended and Restated Receivables Transfer Agreement and Amended and Restated Receivables Purchase and Servicing Agreement each dated August 30, 2002 by and among the Company, SIT Funding Corporation, Manhattan Asset Funding Company LLC, Sumitomo Mitsui Banking Corporation, SMBC Securities, Inc. and General Electric Capital Corporation (the “Amendment”). The Amendment (i) increases the maximum purchase limit under the Amended and Restated Receivables Purchase and Servicing Agreement and (ii) adds Manhattan Asset Funding Company LLC, Sumitomo Mitsui Banking Corporation and SMBC Securities, Inc. as parties to the Amended and Restated Receivables Purchase and Servicing Agreement. The Company and General Electric Capital Corporation also have entered into an Amended and Restated Credit Agreement dated July 9, 2002, as amended through September 17, 2004.
