On March 9, 2005, Choice Hotels International, Inc. (the Company) entered into an agreement to repurchase 100,000 shares of its common stock from the Bruce Bainum Declaration of Trust, Dated March 13, 1997, Bruce Bainum, Trustee. Mr. Bainum beneficially owns approximately 25% of the Companys outstanding shares. The purchase price was $60.335 per share, the average of the high and low trading price of the Companys stock on the New York Stock Exchange on March 8, 2005.

On March 10, 2005, the Company made a presentation to potential investors. The materials attached hereto as Exhibit 99.1 were presented at the meeting.
