On March 8, 2007, eLong, Inc. (the Company) issued a press release regarding its fourth quarter and fiscal year 2006 unaudited financial results. The Companys press release is furnished as Exhibit 99.1. In addition, on March 8, 2007, the Companys management team hosted a conference call to discuss the earnings press release. Also on March 8, 2007, the Company issued a press release announcing the election of Henrik Kjellberg as chairman of its board of directors effective as of March 10, 2007. The Company announced that Barney Harford, the Companys former chairman, will remain as a member of the board. The Company also announced the appointment of Chris Chan as Chief Financial Officer effective March 10, 2007. The Companys press release is furnished as Exhibit 99.2.

To supplement our consolidated financial statements presented herein in accordance with United States generally accepted accounting principles (GAAP), the Company also uses non-GAAP measures of adjusted income/ (loss) and adjusted diluted income/ (loss) per ADS, which are adjusted from results based on GAAP to exclude the impact of non-cash charges related to certain stock based compensation, as well as the impact of charges related to intangibles. Management believes these non-GAAP financial measures enhance the users overall understanding of our current financial performance and our prospects for the future and, additionally, uses these non-GAAP financial measures for the general purpose of analyzing and managing the Companys business. Specifically, management believes the non-GAAP financial measures provide useful information to both management and investors by excluding certain charges that we believe are not indicative of our core operating results.
