As noted below under Item 5.07, on September 25, 2018, the shareholders of Stifel Financial Corp. (the Company) approved the Stifel Financial Corp. 2001 Incentive Stock Plan (2018 Restatement) (the Plan). The material terms of the Plan are summarized in the Companys Definitive Proxy Statement on Schedule 14A, filed with the Securities and Exchange Commission on August 21, 2018, which description is incorporated by reference herein. The description of the Plan is qualified in its entirety by the full text of the Plan, attached hereto as Exhibit 10.1 and incorporated herein by reference.

A Special Meeting of Shareholders (the Special Meeting) of the Company was held on September 25, 2018 to approve the Stifel Financial Corp. 2001 Incentive Stock Plan (2018 Restatement).
As of August 7, 2018, the record date for the Special Meeting there were 71,202,091 shares of the Companys common stock outstanding and entitled to vote. At the Special Meeting 64,389,376 shares of the Companys common stock were represented in person or by proxy, constituting a quorum.
