Item 1.01 Entry into a Material Definitive Agreement.

On September 10, 2010, Alliance Data Systems Corporation ("Alliance Data" or the "Company" as "Borrower") and ADS Alliance Data Systems, Inc., ADS Foreign Holdings, Inc., Alliance Data Foreign Holdings, Inc., Epsilon Marketing Services, LLC and Epsilon Data Management, LLC (as "Guarantors") increased by $15.0 million the aggregate amount of Loans outstanding under their Term Loan Agreement with Bank of Montreal, as Administrative Agent, and various other agents and banks dated August 6, 2010, as amended (the "Term Loan Agreement").

As of September 10, 2010, borrowings under the Term Loan Agreement were $236.0 million. As a result of the increased lending commitments, the Company added PNC Bank, National Association as an additional lender under the Term Loan Agreement.
