("Telefonica"), the wireless affiliate of Telefonica, S.A., and on January 7, 2005, BellSouth transferred its Chilean operations to Telefonica in a related transaction. BellSouth received an aggregate of $1,079 million for its interests in these two properties and will recognize an after-tax gain of approximately $385 to $405 million, or approximately $0.22 cents per share, in the first quarter of 2005. With these transfers, BellSouth has completed the disposition of its Latin American operations.
