Re:  YPF S.A. gives notice of an acquisition of Company shares in the market.
 
 
Dear Sirs:
 
The purpose of this letter is to comply with the requirements of Article 23 of Chapter VI of the Merval Listing Regulations.

In that connection, please be advised that during the period from May 15 to May 23, the Company has acquired a total of 24,269 of its ordinary Class D shares in book entry form, Ps.10 (ten pesos) par value per share and each with a right to 1 (one) vote, in the BASE, at an average price of Ps. 382.87 per share, for a total amount of Ps. 9,291,785.20.

During such period, the Company acquired 239,029 of its American Depositary Shares ("ADS") on the New York Stock Exchange ("NYSE"), at an average price of US$24.01 per ADS, for a total amount of US$5,738,709.43.
