Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 14, 2009, Paul J. Fribourg advised Smithfield Foods, Inc. (the “Company”) of his resignation from the Company’s Board of Directors, effective immediately.  Mr. Fribourg was not a member of any of the committees of the Company’s Board of Directors.

Mr. Fribourg advised the Company that he resigned because he does not support the Company’s previously announced $250 million equity offering.  Mr. Fribourg is the Chairman, President and Chief Executive Officer of Continental Grain Company, which is the beneficial owner of approximately 8.8% of the Company’s common stock.  Mr. Fribourg further advised the Company that he did not believe that an equity offering of this magnitude was necessary at this time, given his confidence in the future performance of the Company and the attendant dilution of all shareholders.  Michael J. Zimmerman, Executive Vice President and Chief Financial Officer of Continental Grain Company, also submitted his resignation as an Advisory Director of the Company.
