Item 2.03
Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant
The minimum consolidated net worth covenant that is contained in the Note Purchase Agreement was amended to conform with the consolidated net worth covenant that the Company established in its Credit Agreement with Bank of America, N.A. and certain other lenders on June 23, 2010, which established a $125 million unsecured credit facility for the Company. The amended version of the Note Purchase Agreements minimum consolidated net worth covenant provides that the Company will not permit its consolidated net worth, as defined in the Note Purchase Agreement, to be less than $215 million, plus amounts equal to 25% of the Companys net quarterly income and proceeds from the Companys equity sales. Prior to the amendment, the Note Purchase Agreement provided for a $200 million threshold for the Companys consolidated net worth. A copy of Amendment No. 1 to the Note Purchase Agreement is attached as Exhibit 10.1 and is incorporated by reference.
