Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers: Compensatory Arrangements of Certain Officers.
On March 1, 2011, Henry C. Newell assumed his previously-announced position as executive vice president and chief operating officer for Wausau Paper Corp. Mr. Newells promotion resulted in his annual salary being increased to $470,000. He also received grants of an additional 40,088 performance units (in the aggregate), which were made consistent with prior Company grants to executive officers under the Companys 2011 Equity Incentive Plan and the Companys 2013 Equity Incentive Plan. Approximately 37% of Mr. Newells additional grants (14,969 units) were made in accordance with the Companys 2013 Equity Incentive Plan, for which vesting occurs after a three-year period based on a measurement of the Companys total shareholder return. The remainder of Mr. Newells additional grants were made in accordance with the Companys 2011 Equity Incentive Plan, for which vesting is tied to a measurement of the Companys return on capital employed.
Mr. Newells cash incentive opportunity also increased under the Companys previously-disclosed 2011 Cash Incentive Compensation Plan for Executive Officers. Whereas Mr. Newells maximum cash incentive opportunity was previously limited to 100% of his base salary, in connection with his promotion, that opportunity has now been increased to 120% of base salary. Payments under the cash incentive plan depend primarily on the Company reaching targeted levels of earnings per share, although attainment of individual objectives also comprise a component of the plan.
