This Amendment No. 13 (“Amendment No. 13”) amends and supplements the Schedule 14D-9 (the “Schedule 14D-9”) initially filed by Gold Fields with the Securities and Exchange Commission (the “SEC”) on November 3, 2004, as amended, relating to the Offer. Except as otherwise defined herein, capitalized terms shall have the meaning given to them in the Schedule 14D-9.

This Amendment No. 13 amends and supplements Item 4 as follows:

ITEM 4. THE SOLICITATION OR RECOMMENDATION

Financial Advisor Fairness Opinions

The following text is hereby inserted immediately prior to the first sentence:

Each of JPMorgan and Goldman Sachs has furnished the Board with a fairness opinion to the effect that the exchange ratios are not fair, from a financial point of view, for Gold Fields shareholders and that the offer by Harmony is not reasonable. In addition to the factors noted above under “Basis for Recommendation,” the Board has considered the conclusions set out in the fairness opinions in providing its recommendation to reject the Offer.

This Amendment No. 13 amends and supplements Item 8 as follows:

Shareholder Communications

Notwithstanding any prior statements made by or on behalf of Gold Fields with respect to the belief that Harmony was in breach of the Securities Act of 1933, as amended, as a result of its inclusion of pro forma financial information in its Form F-4 based on the financial statements of Gold Fields for the financial year ended June 30, 2003 and the financial statements of Harmony for the financial year ended June 30, 2004, the inclusion of such pro forma information did not violate the Securities Act, but merely is not permitted by Regulation S-X thereunder.
