Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 17, 2018, James E. Perry, Senior Vice President and Chief Financial Officer of Trinity Industries, Inc. (“Trinity” or the “Company”), notified Trinity of his election to begin a transition from employment with the Company. Mr. Perry will remain in the Chief Financial Officer role until after Trinity has filed its Annual Report on Form 10-K for the year ended December 31, 2018. Trinity plans to enter into a transition agreement with Mr. Perry consistent with the terms of Trinity’s executive officers’ Transition Compensation Plan. The Company also announced that Melendy E. Lovett, Senior Vice President and Chief Administrative Officer of Trinity, will be appointed Chief Financial Officer of Trinity upon Mr. Perry’s ceasing to serve in that role.

On December 17, 2018, Trinity issued a press release announcing Mr. Perry’s transition from employment and Ms. Lovett’s anticipated appointment. This press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
