Item 8.01. OTHER EVENTS
On Monday, December 14, 2009, Forward Industries, Inc. (the “Company”) filed a Restated Certificate of Incorporation (the “Restated Certificate”) with the Department of State of the State of New York to restate in a single certificate the text of the Company’s original certificate of incorporation and all amendments to date pursuant to Section 807 of the Business Corporation Law of the State of New York.
The Restated Certificate effected a change of the address to which the Secretary of State of the State of New York will send any service of process, which change was authorized by the Board of Directors of the Company and does not require shareholder authorization.
The foregoing is qualified in its entirety by reference to the full text of the Restated Certificate, a copy of which is filed herewith as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
