Item 5.03
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On October 8, 2007, the Board of Trustees of American Community Properties Trust (the “Trust”) adopted an amendment to the Trust’s Amended and Restated Bylaws, as amended (the “Bylaws”).  The amendment adds new Section 16 to Article II of the Bylaws.  New Section 16 provides that, effective October 8, 2007, the Trust elects not to be bound by the Maryland Control Share Acquisition Act, Subtitle 7 of the Corporations and Associations Article of the Annotated Code of Maryland.

The complete text of the Trust’s Bylaws as now in effect are attached and filed as Exhibit 3.1 to this current report on Form 8-K.
