ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.
On June 26, 2006, the Board of Directors of each of Wisconsin Energy Corporation, Wisconsin Electric Power Company and Wisconsin Gas LLC increased the number of directors constituting the whole Board from nine to ten and elected Patricia W. Chadwick, president of Ravengate Partners LLC, to fill the vacancy on the Board of Directors of each company. Ravengate Partners advises businesses and not-for-profit institutions about the financial markets. Ms. Chadwick was also appointed to serve on the Finance Committee of the Board of Directors of each company. Ms. Chadwick was elected to each Board of Directors and appointed to each Finance Committee effective June 26, 2006. Ms. Chadwick is an independent director as determined by the Board of Directors of each company pursuant to Wisconsin Energy Corporation's Corporate Governance Guidelines.
