Item 8.01 (Other Events)

Effective January 1, 2007, the IBM Non-Employee Directors Stock Option Plan, pursuant to which directors receive an annual grant of options, will be terminated.  In addition, in connection with the termination of the option plan, the annual retainer paid to directors will be increased from $100,000 to $200,000 effective January 1, 2007.
