On December 21, 2006, the board of directors (the “Board”) of Catalyst Semiconductor, Inc. (the “Company”) amended and restated the Company’s 2003 Stock Incentive Plan (the “Plan”) in order to allow the Board to grant restricted stock units to eligible participants. The Plan already allowed the administrator of the Plan to grant stock options, stock appreciation rights or restricted stock.
The Amended and Restated 2003 Stock Incentive Plan and form of restricted stock unit agreement are attached hereto as Exhibits 10.102 and 10.102.1 and incorporated herein by reference.
