Item 7.01. Regulation FD Disclosure.
Duke Energy Corporation (the “Company”) has signed an agreement to contribute its wholly-owned subsidiary, DukeNet Communications, LLC (“DukeNet”), into a joint venture. Alinda Capital Partners, LLC, through its affiliates, will own the other half of the joint venture entity, and will pay $137 million in cash to the Company. The transaction will result in a GAAP gain which will be recognized upon closing, but will be treated as a special item and excluded from adjusted earnings. The transaction is expected to close in the third quarter of 2010.
