Item 5.02.                                          Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

(b)  On January 19, 2012, Jan Kalff informed Aon Corporation (the “Company”) of his decision to retire from the Board of Directors at the end of his current term.  Accordingly, Mr. Kalff will not stand for re-election to the Company’s Board of Directors at the Company’s 2012 Annual Meeting of Stockholders.  Mr. Kalff’s decision not to stand for re-election is solely for personal reasons and not due to any disagreements with the Company on any matter relating to the Company’s operations, policies or practices.
