Hello!  I’m Marco Sala and I’d like to share an update with you regarding GTECH’s plans to merge with IGT.

 

As you’ve heard, this transaction will create the world’s leading end-to-end gaming company. It will have the most diversified product portfolio and the largest global gaming footprint. The scale of this combined business will spur more innovation.

 

We’ve discussed the proposed transaction with our global customers and investors.  I am pleased to say that the overall feedback is positive.

 

Our customers are enthusiastic about the merger and they clearly recognize how this will help their operations.

 

Our goals and commitments remain the same. This kind of activity can naturally create distractions. But we must continue to meet the needs of our customers now and in the future. I ask that you stay focused on your day-to-day responsibilities.

 

Until the merger is closed, GTECH and IGT must operate as independent competitors.  For now, anti-trust laws allow us to plan for the integration of the two companies. However, the implementation will only occur once the merger is officially completed, which is expected in the first or second quarter of next year.

 

We have officially kicked off our integration process. We have formed a Steering Committee of senior leaders from both GTECH and IGT.  GTECH’s representatives on the Steering Committee are Alberto Fornaro, Renato Ascoli, Bob Vincent, and Fabio Celadon.

 

The Steering Committee will be responsible for overseeing and guiding the integration planning. The Committee will set key targets, make final decisions, and help eliminate any obstacles along the way.

 



 

An Integration Management Office will be managed by Fabio Celadon and supported by Victor Duarte.  This office will be responsible for integration planning and the day-to-day project operations.

 

We have identified the major work streams. Relevant senior managers from both companies are responsible for jointly developing a plan to achieve the synergy targets.

 

I want to emphasize that integration planning will focus on functional activities. It will not be focused on individuals.

 

The organizational design will be decided in a separate process. This means that the decision on whether to structure the business according to product lines, or according to geographic locations, will be decided separately.

 

We are committed to providing you with as much information as possible during this process.  As a reminder, a section of the GTECH microsite is continually updated with the latest information about the merger.

 

Due to the size and scope of this merger, I want to emphasize that these changes will not happen overnight. More importantly, it is critical that you are not distracted by these events.

Italian CONSOB Regulation No. 17221

 

Pursuant to Article 6 of the CONSOB Regulation no. 17221 of March 12, 2010 (as amended, the “CONSOB Regulation”), NewCo is a related party of GTECH, being a wholly owned subsidiary of GTECH.

 

The merger agreement providing for the GTECH-NewCo merger — which exceeds the thresholds for “significant transactions” pursuant to the Regulation — was approved unanimously by the GTECH board of directors.

 

The merger agreement and the GTECH-NewCo merger are subject to the exemption set forth in Article 14 of the CONSOB Regulation and Article 3.2 of the “Disposizioni in materia di operazioni con parti correlate” (“Procedures for transactions with related parties”) adopted by GTECH on July 28, 2011 and published on its website (www.gtech.com). Pursuant to this exemption, GTECH will not publish an information document (documento informativo) for related party transactions as provided by Article 5 of the CONSOB Regulation.
