Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On December 13, 2010, Gresford Gray delivered to the management of Gladstone Capital Corporation (the "Company") a notice that he is resigning as the Chief Financial Officer of the Company. Mr. Gray’s resignation will become effective on January 7, 2011. The company will appoint an interim CFO and seek a permanent replacement.
