Southern Airlines Company Limited (the “Company”) published an announcement on
December 20, 2010 on the Hong Kong Stock Exchange’s website at: http://www.hkexnews.hk/listedco/listconews/sehk/20101220/LTN20101220330.pdf
to disclose an agreement (the “Agreement”) by and among the Company, Xiamen
Jianfa Group Co., Ltd. and Hebei Aviation Investment Group Co., Ltd (the “Hebei
Investment”), pursuant to which Hebei Investment agreed to inject a cash capital
(“the Capital Injection) of RMB 1,460 million into Xiamen Airlines Company
Limited (the “Xiamen Airlines”), a subsidiary of the Company. As a result of the
Capital Injection, the Company’s equity interests in the Xiamen Airlines
decreased from 60% to 51%. This reduction of equity interests represents a
deemed disposal by the Company.
