(1)	Reflects change from indirect to direct ownership in transfer exempt under Rule 16a-13 of 573,571 shares previously held by the 2006 Grantor Retained Annuity Trust (2006 GRAT) to the reporting person. Reporting person was the trustee and the beneficiary of the 2006 GRAT.
(2)	Shares held in trusts for the benefit of the reporting person's grandchildren. Reporting person is the trustee of the trusts. Reporting person disclaims beneficial ownership of these shares.
