ITEM 8.01 - OTHER EVENTS

 

Holders of a majority of the outstanding common stock of eGain Communications Corporation approved a proposal to amend the company’s certificate of incorporation resulting in the conversion of all of the outstanding shares of 6.75% Series A Cumulative Convertible Preferred Stock into approximately 11.6 million shares of common stock at the company’s annual meeting held on December 15, 2004.
