PART III — NARRATIVE

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

The registrant is not able to file its Form 10-Q by the prescribed due date because it has not received third-quarter financial statements in final form (the “C-BASS Financials”) from Credit-Based Asset Servicing and Securitization LLC (“C-BASS”), a less than 50% owned unconsolidated investment. As the registrant previously disclosed on a Form 8-K/A filed with the Commission on November 2, 2007, the C-BASS Financials are required to determine the carrying value of the registrant’s investment in C-BASS, which, as previously reported, has been written down to $0, and the carrying value of a $50 million demand note provided to C-BASS on July 19, 2007, which has been fully drawn. The registrant expects to file its Form 10-Q as soon as practicable following receipt and satisfactory review of the C-BASS Financials.
