The Registration Statement on Form S-8 (No. 333-134378) (the Registration Statement) of Nextest Systems Corporation (the Registrant) pertaining to the registration of certain shares of the Registrants common stock (Registrant Common Stock) issuable under the Registrants 1998 Equity Incentive Plan, as amended (the 1998 Plan), the Registrants 2006 Equity Incentive Plan (together with the 1998 Plan, the Plans) and the Registrants 2006 Employee Stock Purchase Plan (the ESPP) to which this Post-Effective Amendment No. 1 relates, was filed with the Securities and Exchange Commission on May 22, 2006.
On January 24, 2008, NAC Equipment Corporation, a Delaware corporation and wholly owned subsidiary of Teradyne, Inc., a Massachusetts corporation (Teradyne), merged with and into the Registrant with the Registrant as the surviving corporation (the Merger) pursuant to an Agreement and Plan of Merger, dated as of December 11, 2007 (the Merger Agreement), by and among Teradyne, NAC Equipment Corporation and Nextest Systems Corporation. As a result of the Merger, the Registrant became a wholly owned subsidiary of Teradyne.
Pursuant to the Merger Agreement, Teradyne agreed to assume all of the outstanding options to purchase shares of Registrant Common Stock and all of the outstanding restricted stock units representing shares of Registrant Common Stock issued under the Plans. As of the effective time of the Merger, these options and restricted stock units were converted automatically into, respectively, options to purchase, and restricted stock units representing, shares of Teradynes common stock. In addition, the ESPP was terminated immediately prior to the Merger.
Accordingly, this Post-Effective Amendment No. 1 to the Registration Statement is being filed to deregister the remaining shares of Registrant Common Stock that were available for issuance under the Plans and the ESPP.
