(a) At a meeting held on October 17, 2008, the Audit Committee of the Board of Directors of OPTi, Inc. (the Company) approved the dismissal of Ernst & Young LLP (E&Y) as independent registered public accounting firm of the Company effective as of October 17, 2008.
The reports of E&Y on the Companys consolidated financial statements for each of the past two fiscal years ended March 31, 2007 and March 31, 2008 did not contain an adverse opinion or a disclaimer of opinion and were not qualified or modified as to uncertainty, audit scope, or accounting principles. In connection with the audits of the Companys consolidated financial statements for each of the two fiscal years ended March 31, 2007 and March 31, 2008, and in the subsequent interim period through October 17, 2008, there were no disagreements with E&Y on any matters of accounting principles or practices, financial statement disclosure, or auditing scope and procedures which, if not resolved to the satisfaction of E&Y would have caused E&Y to make reference to the matter in their report. The Company has requested E&Y to furnish it a letter addressed to the Commission stating whether it agrees with the above statements.
A copy of the letter from E&Y, dated October 23, 2008 is filed as Exhibit 16.1 to this Form 8-K.
(b) Effective on October 17, 2008, the Company engaged Armanino McKenna LLP as its independent registered public accounting firm to audit the Companys financial statements. During the two most recent fiscal years and through October 17, 2008, the Company had not consulted with Armanino McKenna LLP with respect to: (i) the application of accounting principles to a specified transaction, either completed or proposed; (ii) the type of audit opinion that might be rendered on the Companys financial statements; or (iii) any matter that was either the subject of a disagreement (as defined in Item 304(a)(1)(iv) of Regulation S-K) or a reportable event (as described in Item 304(a)(1)(v) of Regulation S-K).
