Item 1.01

Entry into a Material Definitive Agreement

On January 28, 2010, the Company’s shareholders approved the adoption of the Fifth Restated 2002 Stock Incentive Plan, which amended the prior plan to, among other things, increase by eighteen million the number of shares available to be granted under the plan.

Other Events

The Board of Directors of the Company declared a quarterly cash dividend on Costco Wholesale Corp. common stock. The dividend of $.18 per share declared on January 28, 2010, is payable February 26, 2010, to shareholders of record at the close of business on February 12, 2010.
