Item 1.01. | Entry into a Material Definitive Agreement. |
On November 1, 2010, Churchill Downs Incorporated (the Company) entered into an amendment (the Amendment) to the Companys Second Amended and Restated Credit Agreement (as amended, the Credit Agreement), which amends certain provisions and provides for the exercise of the accordion feature whereby the maximum aggregate commitment will be increased from $275 million to $375 million. Additionally, the Amendment reduces the pricing schedule for outstanding borrowings by 37.5 basis points and commitment fees by 5 basis points across all leverage pricing levels. The guarantors under the Credit Agreement continue to be a majority of the Companys wholly owned subsidiaries.
Generally, borrowings made pursuant to the Credit Agreement will bear interest at a LIBOR-based rate per annum plus an applicable percentage ranging from 1.625% to 3.125% depending on certain of the Companys financial ratios. In addition, under the Amendment, the Company agreed to pay a commitment fee at rates that range from 0.25% to 0.45% of the available aggregate commitment, depending on the Companys leverage ratio.
