Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 1, 2011, Expedia, Inc. (the “Company”) announced that Michael B. Adler, Executive Vice President and Chief Financial Officer, intends to leave the Company. No specific date has been set for Mr. Adler’s departure and he will remain in his current position through an appropriate transition period that will include the completion of the pending spin-off of the Company’s TripAdvisor Media Group. Mark Okerstrom, currently the Company’s Senior Vice President, Corporate Development, will be appointed as the Company’s new Chief Financial Officer and will assume that role after the transition period.
