This Form 8-K/A is being filed as an amendment to the Current Report on Form 8-K filed by Tesla Motors, Inc. (the Company) on June 3, 2011. The sole purpose of this amendment is to disclose the Companys decision as to how frequently it will conduct future stockholder advisory votes regarding executive compensation.

At the Companys 2011 Annual Meeting of Stockholders held on June 1, 2011, stockholders voted on, among other matters, a proposal on the frequency of future stockholder advisory votes regarding executive compensation. As previously reported, the stockholders voted to hold such advisory votes every three years. Consistent with these results, on October 5, 2011, the Companys Board of Directors determined that the Company will conduct future stockholder advisory votes regarding executive compensation every three years until the next required stockholder advisory vote on the frequency of say-on-pay votes is required under Section 14A of the Securities Exchange Act of 1934, as amended, or until the Board of Directors otherwise determines that a different frequency for such votes is in the best interests of the Companys stockholders.
