(1) This Amendment No. 2 on Form S-8 to Form S-4 covers a total of 29,200,000 shares of Expedia common stock, of which (a) 28,500,000 shares of Expedia common stock are issuable in connection with grants of equity-based awards under the Amended and Restated Expedia, Inc. 2005 Stock and Annual Incentive Plan (22,500,000 of which shares of Expedia common stock were originally registered on its Registration Statement on Form S-4 (File No. 333-175828), as amended (the “Form S-4”), and 6,000,000 of which shares are first registered on this Post-Effective Amendment No. 2), (b) 600,000 shares of Expedia common stock are issuable under the Expedia, Inc. 401(k) Retirement Savings Plan (all of which shares of Expedia common stock were originally registered on the Form S-4), and (c) 100,000 shares of Expedia common stock are issuable under the Expedia, Inc. Deferred Compensation Plan for Non-Employee Directors (all of which shares of Expedia common stock were originally registered on the Form S-4).
(2) Pursuant to Rule 416(a) under the Securities Act of 1933, this Registration Statement also covers additional securities that may be offered as a result of stock splits, stock dividends or similar transactions.
(3) Estimated solely for the purpose of calculating the registration fee. The registration fee has been calculated in accordance with Rules 457(c) and 457(f) under the Securities Act of 1933, as amended, based upon the average of the high and low prices per share for Expedia, Inc. Common Stock trading on a “when issued” basis on the NASDAQ Global Select Market as of December 14, 2011, which were $28.30 and $26.95, respectively. The 22,500,000 shares of Expedia common stock issuable under the Amended and Restated Expedia, Inc. 2005 Stock and Annual Incentive Plan that were originally registered on the Form S-4, the 600,000 shares of Expedia common stock issuable under the Expedia, Inc. 401(k) Retirement Savings Plan that were originally registered on the Form S-4 and the 100,000 shares of Expedia common stock issuable under the Expedia, Inc. Deferred Compensation Plan for Non-Employee Directors that were originally registered on the Form S-4 have been excluded from this calculation because the registration fees payable in connection with such shares of common stock were paid at the time of the filing of the Form S-4.

 

 

 

 


EXPLANATORY NOTE

Expedia, Inc. (“Expedia” or the “Registrant”) hereby amends its Registration Statement on Form S-4, as amended (SEC File No. 333-175828) by filing this Post-Effective Amendment No. 2 on Form S-8 to Form S-4 to register 29,200,000 shares of Expedia Common Stock, $0.0001 par value, issuable in connection with grants of equity awards under the plans listed on the cover of this Registration Statement (the “Historical Plans”).

On December 20, 2011, Expedia completed a reclassification of its capital stock and a one-for-two reverse stock split that resulted in holders of Expedia capital stock having the right to receive a proportionate amount of the capital stock of TripAdvisor, Inc. (“TripAdvisor”). Pursuant to that transaction, TripAdvisor was spun-off as an independent, separately traded public company (the “spin-off”). Among other things, in the transaction, each share of Expedia $0.001 par value common stock was reclassified into one share of Expedia $0.0001 par value common stock and 1/100 of a share of Expedia Series 1 Mandatory Exchangeable Preferred Stock. In turn, the Expedia Series 1 Mandatory Exchangeable Preferred Stock was automatically exchanged into one share of TripAdvisor $0.001 par value common stock immediately following the reclassification.

Expedia stock options and other equity-based awards granted pursuant to Historical Plans that are granted or remain outstanding after the spin-off are exercisable or convertible, as applicable, into shares of Expedia $0.0001 par value common stock.

The Registrant’s certificate of incorporation limits, to the maximum extent permitted by Delaware law, the personal liability of directors for monetary damages for breach of their fiduciary duties as a director. The Registrant’s bylaws provide mandatory indemnification to the fullest extent authorized by the Delaware General Corporation Law with respect to actions, suits, or proceedings that a person is party to, or threatened to be made a party to or otherwise involved in, by reason of the fact that he/she or a person of whom he/she is the legal representative is or was a director or officer of the Registrant, or by reason of the fact that he/she is or was a director or officer of the Registrant and serving in certain other capacities; provided that any such person has met the applicable standard of conduct set forth in the Delaware General Corporation Law described below and that, with certain exceptions relating to suits to enforce rights to indemnification, such persons will be indemnified with respect to actions or suits initiated by such persons only if such action was first approved by the board of directors. The Registrant’s bylaws include within this right to indemnification the right to be paid by the Registrant the expenses incurred in defending such a proceeding in advance of its final disposition; provided that, in certain circumstances, the person provides an undertaking to the Registrant to repay such expenses, if it is

ultimately determined that such party was not entitled to indemnity by the Registrant. From time to time, the Registrant’s officers and directors may be provided with indemnification agreements that are consistent with or greater than the foregoing provisions. The Registrant has policies of directors’ and officers’ liability insurance which insure directors and officers against the costs of defense, settlement and/or payment of judgment under certain circumstances. The Registrant believes that these agreements and arrangements are necessary to attract and retain qualified persons as directors and officers.

The Registrant is incorporated in the State of Delaware. Section 145 of the Delaware General Corporation Law provides that a corporation may indemnify any person who was or is a party, or is threatened to be made a party to any threatened, pending or completed action, suit or proceeding, whether civil, criminal, administrative or investigative, by reason of the fact that he is or was a director, officer, employee or agent of the corporation or is or was serving at the request of the corporation as a director, officer, employee or agent of certain other entities against expenses (including attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by him in connection with such action if he acted in good faith and in a manner he reasonably believed to be in, or not opposed to, the best interests of the corporation and, with respect to any criminal action or proceeding, had no reasonable cause to believe his conduct was unlawful; provided that with respect to proceedings by or in the right of a corporation to procure a judgment in its favor, (a) a corporation may only indemnify such a person against expenses (including attorneys’ fees) actually and reasonably incurred by him in connection with the defense or settlement of such action and (b) no indemnification shall be made in respect of any claim, issue or matter as to which such person shall have been adjudged to be liable to the corporation unless and only to the extent that the Delaware Court of Chancery or the court in which such action or suit was brought shall determine upon application that, despite the adjudication of liability but in view of all the circumstances of the case, such person is fairly and reasonably entitled to indemnity for such expenses which the Delaware Court of Chancery, or such other court, shall deem proper.
