Item 7.01. Regulation FD Disclosure.

On March 1, 2012, Covanta Holding Corporation (the “Company”) announced that it is considering a refinancing of all of the credit facilities of its principal subsidiary, Covanta Energy Corporation (“Covanta Energy”), with new Covanta Energy credit facilities comprised of a $900 million revolving credit facility and a $300 million term loan B facility, subject to market conditions.
