Item 2.02. Results of Operations and Financial Condition.

On April 26, 2012, Expedia, Inc. announced its financial results for the quarter ended March 31, 2012. The full text of this press release is furnished as Exhibit 99.1 hereto.

Expedia makes reference to non-GAAP financial measures in the press release, and includes information regarding such measures in the press release.

Item 8.01. Other Events.

On April 26, 2012, Expedia announced that its Executive Committee, acting on behalf of its Board of Directors, has (i) declared a quarterly cash dividend of $0.09 per share of outstanding common stock payable on June 19, 2012 to stockholders of record as of the close of business on May 30, 2012, and (ii) authorized the repurchase of up to 20 million shares of the Company’s common stock.
