ITEM 8.01 OTHER EVENTS.

On September 27, 2013, Cardium Therapeutics, Inc. (“Cardium”) issued a press release announcing that in view of the unusual market activity in the Company’s common stock on Friday, Sept. 27, 2013, the New York Stock Exchange contacted Cardium in accordance with its usual practice. The Company stated that its policy is not to comment on market activity. A copy of the press releases is attached hereto as Exhibit 99.1.
