Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In recognition of the January 1, 2015 change in her position with the Company, and in keeping with the Company’s practice of having no employment contracts for senior executives, on February 11, 2015, Patricia A. Woertz, Chairman and the Company have terminated her existing employment contract dated April 27, 2006. She is therefore an “at will” employee, subject to the benefits and policies afforded to other senior executives of the Company.
