ITEM 3.02 - UNREGISTERED SALE OF EQUITY SECURITIES

         On June 8, 2005 Flexible Solutions International, Inc. ("the Company"),
issued a press release announcing that the Company sold 84,700 shares of common
stock at $3.75 per share in a private placement. A Warrant was also issued to
the buyer, following the same terms as announced by the Company on April 14,
2005.
