Item 8.01 Other Events

On January 31, 2017, Simpson Manufacturing Co, Inc. (the “Company”) issued a press release (the “Press Release”) announcing that the Company’s board of directors resolved on January 30, 2017 to hold a special meeting of stockholders of the Company on or around March 28, 2017 (the “Special Meeting”). As described in the Press Release, the agenda for the Special Meeting will include submitting to the stockholders proposals to amend the certificate of incorporation and the bylaws of the Company, each as amended, to (1) declassify the Company’s board of directors over a three-year period and provide that directors be elected for one-year terms beginning at the Company’s 2017 annual meeting of stockholders, and (2) eliminate cumulative voting in the election of directors.

 

Additional meeting details will be included in the Company’s proxy statement with respect to the Special Meeting to be filed with the Securities and Exchange Commission, which will be mailed to all stockholders entitled to receive notice of and to vote at the Special Meeting.

 

Stockholders are not required to take any action at this time.
