Prospect Capital Announces Public Offering of Convertible Notes due 2022

NEW YORK, Apr. 5, 2017 (GLOBE NEWSWIRE) -- Prospect Capital Corporation (NASDAQ:PSEC) (“Prospect”, “our”, or “we”) today announced that it is offering, subject to market and other conditions, senior unsecured convertible notes due 2022 (the “Notes”) in an underwritten public offering.

The Notes will mature on July 15, 2022, unless previously converted, repurchased or redeemed in accordance with their terms. The Notes will be convertible into shares of Prospect’s common stock at a conversion rate to be determined. Interest on the Notes will be payable semi-annually in arrears on January 15 and July 15 of each year, commencing on July 15, 2017. The interest rate, the conversion rate and other terms of the Notes will be determined at the time of pricing of the offering.

Prospect expects to use a portion of the net proceeds from the sale of the Notes to repurchase from time to time a portion of its 5.375% Convertible Senior Notes due 2017 (the “2017 Notes”) and its 5.75% Convertible Senior Notes due 2018 (the “2018 Notes”). As of April 4, 2017, the estimated asset coverage of the 2017 Notes and the 2018 Notes was 4701% and 3044%, respectively, accounting solely for the issuance of Prospect Capital InterNotes®. Prospect's most recently approved net asset value was as of December 31, 2016. The asset coverage ratio is the amount of our total assets, less all our liabilities and indebtedness not represented by senior securities (as defined in the Investment Company Act of 1940), divided by the amount of such 2017 Notes or 2018 Notes, as applicable. Accordingly, we advise you that our actual asset coverage ratio may differ materially from these estimates, which are given only as of April 4, 2017, as a result of the completion of our financial closing procedures, final adjustments and other developments, including changes in the businesses to whom we have made loans.
