Item 2.02 Results of Operations and Financial Condition.

On November 9, 2010, Park City Group, Inc. (the "Company") issued a press release announcing its operating results and financial condition for the quarter ended September 30, 2010, including certain other remarks relating to projected operations. In addition, the Company announced the scheduling of its quarterly conference call, where the Company's management will address the Company's operating results during the recently completed fiscal quarter. A copy of the press release is furnished as Exhibit 99.1.
