Item 9.  Regulation FD Disclosure

  On January 5, 2004, CNA Financial Corporation, a 90% owned subsidiary,
issued a press release announcing that it completed the previously announced
sale of its Group Benefits business to Hartford Financial Services Group, Inc.
for approximately $500 million. A copy of the press release is attached as
Exhibit 99.1 to this Form 8-K.
